EGM Results Statement

8 March 2024

Following Thursday night’s announcement that all five resolutions proposed at the Extraordinary General Meeting (EGM) were passed, Rochdale AFC can confirm the results in full.

They are as follows:

Special Resolution 1 – Removal of Restriction on Authorised Share Capital – was passed with an 85.617% majority.

Resolution 2 – Authority to Allot New Class of Shares and Class Rights – was passed with an 85.574% majority.

Special Resolution 3 – Changes to Director Rotation – was passed with an 85.105% majority.

Special Resolution 4 – Changes to Voting – was passed with an 85.536% majority.

Special Resolution 5 – Removing Requirement to Appoint an Auditor – was passed with an 81.670% majority.

The Board of Directors commented: “We would like to thank everyone who attended Thursday night’s EGM. It felt like almost every shareholder was in attendance and it is a testament to how much we all care about the club.

“There were some shareholders that voted against the proposals, which is 100% their right to do so and they should be applauded for sticking to their principles. It may not have been the result they wanted but that is democracy.

“Emotions run high on occasions like last night but we genuinely believe that, for right or wrong, everyone in that room wants the best for Rochdale Football Club.”
